Terms & Conditions (Global Account - Business)

Below are presented the terms and conditions (hereinafter, the "Terms and Conditions"), which constitute the contractual agreement between Pier 5, S.A. de C.V. (the "Company") and the User, for the use of the Platform and, in general, of the services offered by the Company.

Please review the following Terms and Conditions ("Business"). By accepting them, or by accessing or using the product, you acknowledge and expressly accept that you have read, understood and accept in full the content of these Terms and Conditions.

These Terms and Conditions apply to the use of the Business product available at the domain https://www.arqfinance.com/business and https://business.arqfinance.com/, which is included as part of the Platform.

The Company is an enterprise established in accordance with the laws of the United Mexican States ("Mexico"), with domicile at Paseo de la Reforma 296, piso 14, suite 1400, Colonia Juárez, Alcaldía Cuauhtémoc, C.P. 06600, Ciudad de México, México, and electronic address business.support@arqfinance.com, or through the chat available on the Platform, available Monday through Friday from 9:00 a.m. to 5:00 p.m. (GMT-6 / Mexico City time).

To learn how we treat personal data, rights thereon, and the use of cookies, we invite you to consult our Privacy Notice available on the Platform.

Before consenting to these Terms and Conditions, the legal representative of the User expressed their willingness to share personal data with the Company so that it may be treated in accordance with what is set forth in the Privacy Notice.

Consequently, by accepting these Terms and Conditions, the legal representative of the User accepts the Privacy Notice and other policies available through the Platform, understanding that such data will be treated for the purposes of the services provided by the Company and described in these Terms and Conditions.

1. Definitions

Terms with initial capital letters shall have the meanings assigned below:

  • "Privacy Notice": The privacy policy available on the Platform.

  • "Content": As defined in Section 5 of these Terms and Conditions.

  • "Company Account": The account or wallet opened by the Company in favor of the User in accordance with these Terms and Conditions.

  • "Settlement Account": The account, in the name of the Company, denominated in Mexican pesos or United States dollars, opened with Third-Party Partners, through which Users will settle the acquisition of Digital Dollars by sending pesos or dollars through the Platform.

  • "User Account": The account that the User maintains with a national or foreign financial institution through which funds will be transferred to settle purchases or sales of Digital Dollars instructed to the Company.

  • "Virtual Assets": Cryptocurrencies or digital assets denominated as stablecoins, as defined in Section 2 of these Terms and Conditions.

  • "The Company": Pier 5, S.A. de C.V.

  • "Mexico": The United Mexican States.

  • "Platform": The website https://business.arqfinance.com/, its subdomains, the mobile application, and any website and platform currently or in the future owned by the Company.

  • "Reward" ("cashback" or "bonus"): A price reduction granted by the Company at the time of sale in accordance with a commercial agreement, accumulated by the Client—for example, a volume discount—in accordance with these Terms and Conditions, including any credit card that the Company may offer to its Users.

  • "Third-Party Partners": Any person involved in Digital Dollar operations between Users and such third parties, supported by the Company's technology.

  • "Terms and Conditions": These present terms and conditions, available on the Platform.

  • "User": Any natural or legal person who registers through the Platform.

  • "Fees": Charges and rates that the Company will charge the Client as indicated on the Platform.

  • “Digital Dollars”: Digital asset that the Client acquires and holds through the Company in accordance with the corresponding terms and conditions, whose value is backed by U.S. dollars.

  • “Digital Euros”: Digital asset that the Client acquires and holds through the Company in accordance with the corresponding terms and conditions, whose value is backed by euros.

2. Digital Assets

The User accepts and acknowledges that, for purposes of these Terms and Conditions, cryptocurrencies or digital assets classified as stablecoins will be used. These are characterized by being backed by fiat currencies or other assets that support their value ("Virtual Assets"), and may be denominated as Digital Dollars or Digital Euros, as applicable (i.e., stablecoins backed by U.S. dollars and stablecoins backed by euros, respectively).

Given the foregoing, it is stated that stablecoins, by being tied to other assets, tend to have lower volatility or show price stability; however, the Company does not guarantee such stability. Notwithstanding the above, and with the objective of providing the highest level of security for the User, the User expressly authorizes the Company to convert their Digital Dollars or Digital Euros, as applicable, into other currencies or assets when market conditions are disorderly, highly volatile or adverse—although this will not constitute an obligation for the Company.

The Company also informs the User that it is not the issuer nor the custodian of the Digital Dollars or Digital Euros, as applicable. It acts solely as a provider of information technology that enables their acquisition through their respective issuers and/or suppliers. The Company's technology identifies the best offers to buy and sell Digital Dollars or Digital Euros, as applicable, for the benefit of the User, in relation to the operations that the User intends to perform.

3. Transactions

a. Purchase and Sale

Through the use of the Platform, the User shall expressly instruct the Company to purchase or sell Digital Dollars or Digital Euros, as applicable, after making payment, and expressly authorizes the Company to buy or sell, on their behalf, the amount of Digital Dollars or Digital Euros, as applicable, that corresponds to the funds paid by the User.

In this context, funds will be received in the Settlement Account and will be reflected in the Company Account. The settlement of operations will be carried out in the currency accepted by the Company, as required by the User, and at the equivalent value in Digital Dollars or Digital Euros, as applicable. If settlement is performed in United States dollars or euros of the European Union, the User must, as applicable, accept the terms and conditions of the administrator of the Settlement Account.

Any settlement of Digital Dollars or Digital Euros, as applicable, will be processed through the Settlement Account and will be reflected in the User Account.

b. Transfers

The User may also instruct transfers of Digital Dollars or Digital Euros, as applicable, to other Company Accounts through the Platform and through Third-Party Partners. The Company's role is strictly limited to monitoring and recording such operations, regardless of the actions taken by Third-Party Partners.

c. Operation Limits

The Company may limit the maximum amount for purchases of Digital Dollars or Digital Euros, as applicable, up to an amount to be defined per calendar month if so required by an Allied Third Party. If the User wishes to increase the limit that may be established, the User must justify the origin of the intended transaction.

The Company may offer a credit card under its own applicable terms and conditions, and express acceptance will be required for its issuance and use.

d. Transaction History

Through the Platform, the Company provides a record of activity of the Company Account, which shall include:

  1. type of operation,

  2. date of the operation, and

  3. balance in Digital Dollars or Digital Euros, as applicable.

e. Company's Role

The Company's participation in operations is strictly limited to providing the technological tools that enable the User to perform operations with Digital Dollars or Digital Euros, as applicable, safely, transparently and for the benefit of the User.

In this sense, the Company is an information technology provider focused primarily on facilitating the purchase and sale of Digital Dollars or Digital Euros, as applicable, through Third-Party Partners that enable operations with virtual assets. The Company does not perform currency exchange operations, purchase, sale or conversion of currencies; does not receive, manage or capture resources from the public, nor does it enter into credit operations, loans or others that generate direct or contingent liabilities for the Company. It does not process transfers, nor offers investment services or advice, nor performs any other activity regulated under applicable legislation with its Users. The Company is limited to the services described in these Terms and Conditions.

The operations instructed by the User will be executed at the moment of instruction, regardless of the response times of the Third-Party Partners or of the User's financial institution.

f. Rewards

The Company reserves the right and may, at its sole discretion, grant Rewards or bonuses to Users who activate the corresponding option on the Platform. These are accumulative by Users. The Company may modify the terms and conditions that govern such Rewards or bonuses from time to time, as indicated in the modifications section of these Terms and Conditions.

4. Non-Discrimination

The Company does not deny or condition its services based on gender, nationality, ethnicity, sexual orientation, religion, political affiliation, disability or any other factor. The Company does not tolerate any form of preference or discriminatory practice and will take measures in this regard.

5. Costs and Fees

Commissions are applied as established in the "Costs and Commissions" section of the Platform. Upon receiving the service, the User accepts to pay the corresponding Commission, which will be deducted directly from the Company Account. Commissions may vary over time, and any change will be communicated to the User.

In all cases, the Company will issue Digital Invoices for the Internet (CFDI), that is, electronic invoices related to the income obtained, as well as for any reimbursement, discount or bonus applied.

6. Platform

a. Payment Processing Services.

(i) The Company or its affiliate ("Company Affiliate") may facilitate its payment instructions related to payment to its contractors and employees (collectively, "Contractors" and, individually, a "Contractor") for the provision of services ("Contractor Services"), or facilitate their payment to Contractors for Contractor Services through the processing of payment instructions and of Contractors ("Payment Processing Services"). In the event that the Company Affiliate decides to provide the Payment Processing Services, you must accept the contract with the Contractor ("Contractor Agreement"), which will govern the relationship between you and the Contractor.

(ii) To access certain Payment Processing Services, you must have active Banking Products with sufficient funds to carry out any payment instruction that you provide to the Company, the Company Affiliate or the Bank (through the Company or the Company Affiliate). The Company Affiliate may access information about the Banking Products and use such information for any purpose, subject to the Company Affiliate's Privacy Notice and applicable law. You authorize the Company and the Company Affiliate to disclose such information to any person to execute any payment instruction or request that you provide to the Company or the Company Affiliate. You authorize the Company and the Company Affiliate to provide any payment instruction that you issue to the Bank or any third-party payment processor, and you authorize the Bank and such processor to debit your Banking Products for payments due under the Contractor Agreement and to transfer such funds to the Contractor's designated account, as provided by the Company or the Company Affiliate. In the event that there is an error in the processing of an electronic debit, you authorize the Company, the Company Affiliate, the Bank and any payment processor to correct the error by initiating an electronic credit or debit to the Banking Products for the amount corresponding to the error on the date of the error or after the same. You understand that this authorization will remain in force and irrevocable, unless you terminate these Terms and Conditions. The Company may also revoke this authorization for any reason. The Company may terminate the Payment Processing Services if you revoke or modify the authorizations in accordance herewith. You are responsible for all collection costs and damages if you do not pay in full the amounts owed at maturity. You are solely responsible for any charge or commission incurred due to overdrafts or rejected transactions. You acknowledge and accept that all payment information, including that related to Banking Products, is accurate, current and complete, and you declare and warrant that you have the legal right to use such Banking Product.

(iii) Notwithstanding any provision to the contrary, neither the Company nor the Company Affiliate remit payments under the Contractor Agreement and are not responsible for the payment obligation to the Contractor in accordance with the Contractor Agreement. You are responsible for remitting to the Contractor the payments due under such contract, subject to its terms. Notwithstanding any provision to the contrary herein, you hereby designate the Company and the Company Affiliate to issue payment instructions to the Company Affiliate, the Bank and any payment processor used to execute a payment in accordance herewith.

b. Banking Products.

The Company Affiliate may also facilitate access to banking services, including deposit accounts, provided by the Company Affiliate's partner bank ("Bank" and such services, "Banking Products"). The use of Banking Products is subject to separate eligibility criteria and to the Bank's contract governing the Banking Products ("Banking Agreement"). The Company Affiliate makes no representation or warranty as to whether the Bank will approve or continue to provide you with a Banking Product. The Bank may deny, suspend or terminate access to Banking Products in accordance with the terms of the Banking Agreement. In the event of conflict between the Banking Agreement and these Terms and Conditions, the Banking Agreement will prevail with respect to related Banking Products. Banking Products are not offered by us, the Company Affiliate, but by the Bank. The services of the Company Affiliate may be provided to help you view, manage and access your Banking Products. Banking Products are made available by the Bank in collaboration with us. The Company Affiliate operates software that allows you to access the Bank's services, but the Company Affiliate does not provide banking services or money transmission services. All banking, lending and money transmission services are provided by the Bank. You accept that the Company Affiliate and the Bank are authorized to act in accordance with transaction instructions or any other instructions they receive under your user ID and password, and you accept that any action taken under such data will have the same effect as a signature authorizing the corresponding transaction or action. Subject to applicable law, the Company Affiliate reserves the right to deny transactions or other actions that you authorize through it without prior notice.

The User acknowledges that the Platform may experience interruptions or errors and accepts that the Company will not be responsible for such modifications, suspensions, interruptions or failures.

Therefore, both the Platform and the Content are protected by intellectual and industrial property rights in accordance with applicable law.

By using the Platform and accepting these Terms and Conditions, the Company grants the User a non-exclusive, limited, temporary, revocable and non-transferable license to access the services and use the Platform, without implying the grant of additional rights to those expressly conferred.
